Buyer & Vendor Agreement for Per-Link Insurance Protection

This Agreement sets the commercial terms, eligibility, coverage, claim process, and obligations for Buyers and Vendors (Publishers) who participate in the LinkShield™ Solo per-link insurance program on LinkoMarketplace. By purchasing, offering, or fulfilling insured placements, you agree to these terms.

1. Parties & Definitions

Marketplace: LinkoMarketplace, operating at https://linkomarketplace.com
Buyer: The customer purchasing a paid placement and optional LinkShield™ insurance.
Vendor/Publisher: The website owner or authorized seller providing the paid placement.
Placement: A paid link or sponsored editorial post on Vendor's site with the agreed anchor, target URL, and rel-attribute.
Go-Live: Timestamp when the Placement passes QA and is publicly accessible.
Insured Term: Twelve (12) months from the Buyer-approved Go-Live date for the specific insured link.
Covered Incident: A qualifying issue defined in Section 4 triggering remedies under this Agreement.

2. Program Scope (Per-Link)

Insurance attaches to a single, uniquely identified Placement (link_id + URL). Insurance is optional per link and priced as shown at checkout. Coverage does not extend to any other links or campaigns unless separately insured.

3. Eligibility & Exclusions

3.1 Eligible Placements Must:

  • Tracking Required: Placement must be added to and continuously tracked in LinkoMonitor from Day 1 (within 24 hours of Go-Live). Failure to activate continuous tracking voids eligibility for remedies.
  • Return stable HTTP 200 status; be crawlable and publicly accessible (no geoblocking/paywall preventing crawl).
  • Match the agreed anchor, target URL, and original rel-attribute (unless a Rider applies).
  • Not be part of undisclosed Private Blog Networks (PBNs) or link farms.

3.2 General Exclusions (Not Covered):

  • Buyer-requested anchor/URL changes after Go-Live leading to removal or alteration.
  • Site-wide policy flips (e.g., dofollow→nofollow/UGC/sponsored) unless the Buyer purchased an attribute rider explicitly covering that risk.
  • Force majeure, registrar seizures, domain sales with content wipe, or permanent site sunsets beyond Vendor's reasonable control.
  • Temporary downtime or crawl issues less than 72 consecutive hours.
  • Robots/meta changes that are reversed within 72 consecutive hours.
  • Prohibited verticals or spam tactics expressly requested by Buyer that result in manual actions.

4. Covered Incidents

Covered Incidents apply only to the insured Placement during the Insured Term and are subject to the minimum claim time of 28 consecutive days as specified below:

A) Deletion / Removal

The Placement is removed or the page returns 404/410/soft-404 for more than 72 consecutive hours.

B) Non-Indexation (Post Go-Live)

The Placement page remains unindexed for 28 consecutive days after Go-Live.

C) De-Indexation (After Initial Index)

A previously indexed Placement page is absent from the index for 28 consecutive days during the Insured Term.

D) URL/Slug Change Without 301

Vendor changes the Placement URL without a proper 301 redirect to the original slug; treated as Deletion.

Note: For (B) and (C), "consecutive days" means the page fails index checks on each check day across the 28-day span. Occasional momentary indexing signals do not reset the count unless confirmed as sustained indexation by Marketplace checks.

5. Pricing, Riders & Limits

  • Premium (Per Link): As quoted on checkout (from 12% of link price).
  • Optional Riders: Attribute parity; anchor flexibility; velocity/queue guard (if offered at checkout).
  • Liability Cap (Per Link): Aggregate remedies are capped at 80% of the insured link price.
  • Max Replacements: One (1) like-for-like replacement per insured link within the Insured Term.

6. Vendor (Publisher) Payment & Holdback

  • 70% of Vendor fee is payable at Go-Live after QA.
  • 30% is held back until the Placement passes a health check at Day 28 post Go-Live.
  • If a Covered Incident occurs before holdback release and is attributable to Vendor breach, Marketplace may offset remedies from the holdback.

7. Monitoring & Evidence Standards

  • Mandatory Telemetry: The Placement must be tracked in LinkoMonitor from Day 1. LinkoMonitor logs serve as primary evidence.
  • Marketplace performs automated/manual checks at Go-Live; frequently within the first 28 days; and at least monthly thereafter.
  • Acceptable proof: time-stamped screenshots; HTTP logs; Google URL Inspection/GSC status; third-party crawler corroboration.
  • Buyer cooperation may be requested to adjudicate claims.

8. Claims — Submission, Verification, and Approval

8.1 When You Can Claim (Minimum Claim Time):

  • For Non-Indexation or De-Indexation: submit a claim after 28 consecutive days of the condition.
  • For Deletion: submit after 72 consecutive hours of confirmed removal.

8.2 How to Submit:

  • Include your LinkoMonitor tracking URL or exported logs covering the claimed period.
  • Open a support ticket in your Marketplace account referencing the specific link_id and Placement URL.
  • Attach evidence (screenshots/logs).

8.3 Marketplace Review Timeline:

Marketplace will verify and approve or deny claims within 14 days of receiving complete evidence. We may request additional information during this period.

8.4 Decision & Notice:

A written decision with remedy (if approved) will be posted to the ticket and emailed to the Buyer and Vendor.

9. Remedies (Order & Timing)

Primary Remedy — Replacement:

For approved claims, Marketplace will coordinate a like-for-like replacement (DR ±5, topical match, anchor intent, similar traffic bracket) within 21 calendar days of approval.

Fallback Remedy — Pro-Rata Account Credit:

If equivalent replacement cannot be fulfilled in 21 days, Marketplace may issue a pro-rata account credit to the Buyer for the remaining Insured Term value of the link, up to the Liability Cap.

Cap & Limits:

  • Aggregate remedies per link are capped at 80% of insured link price.
  • Maximum one replacement per insured link.

10. Buyer Responsibilities

  • Provide accurate anchors/targets at order time; approve Go-Live promptly.
  • Do not request post-Go-Live changes that would reasonably invalidate coverage.
  • Assist with reasonable evidence requests, including GSC status where available.
  • Open claims in a timely manner within the Insured Term.

11. Vendor (Publisher) Obligations

  • Maintain uptime and crawlability; avoid robots/meta changes that block indexation.
  • Do not alter rel-attributes post-Go-Live except as agreed or covered by an applicable rider.
  • Apply 301 redirects when changing slugs/URLs for Placement pages.
  • Cooperate with replacements within 21 days of an approved claim attributable to Vendor breach.
  • Refrain from deceptive practices (metric inflation, PBN masking, undisclosed inventory swaps).

12. Set-Off, Credits & Taxes

  • Marketplace may set-off approved remedy amounts against Vendor holdbacks or future payouts.
  • Account credits constitute a valid remedy and may be applied to future orders.
  • Each party bears its own taxes except where withholding is required by law.

13. Term, Suspension & Termination

  • Coverage is coterminous with the Insured Term for each insured link.
  • Marketplace may suspend a Vendor for repeated incidents or material breach.
  • This Agreement may be updated on-site; continued use constitutes acceptance of the latest version.

14. Liability & Disclaimers

  • Except for express remedies herein, Marketplace disclaims all implied warranties to the fullest extent permitted by law.
  • Neither party is liable for indirect or consequential damages.
  • Marketplace's total liability per insured link is limited to the Liability Cap in Section 5.

15. Governing Law & Dispute Resolution

  • Parties will attempt good-faith resolution within 15 days of notice before formal proceedings.

Exhibit A — Evidence Checklist (Non-Indexation/De-Indexation)

  • Third-party crawler reports (e.g., Ahrefs/SimilarWeb/GSC export).
  • Date-stamped logs showing 28 consecutive days unindexed/out of index.

Exhibit B — Evidence Checklist (Deletion)

  • HTTP status logs/screens showing 72+ consecutive hours of 404/410/soft-404 or link removal.
  • Screenshots of the Placement page before/after.

Exhibit C — Replacement Quality Parity

  • DR within ±5 of original; topical category match; anchor intent maintained; traffic bracket within ±25%.
  • Equal or better crawlability (no JS rendering blocks, no robots barriers).

By purchasing LinkShield™ or listing insured inventory, Buyers and Vendors acknowledge and agree to these terms.
